Terms of Service

Welcome to Ninchi. These Terms of Service ("Terms") govern your use of the Ninchi service ("Service") operated by Ninchi Inc. ("we", "us", or "our"). By using Ninchi, you agree to these Terms.

1. Description of Service

Ninchi is a multi-platform enablement tool that integrates with software development repositories (including GitHub, GitLab, and Bitbucket) and development environments (via IDE extensions and MCP servers). The Service is designed to evaluate understanding of code changes, documentation, and operational workflows across professional, educational, and enterprise settings. The Service generates analytical insights, including the "Ninchi Score" and knowledge maps, to promote accountability and facilitate training.

2. Eligibility

You must be at least 18 years old and authorized to use the repositories and services you connect to Ninchi.

3. Use of the Service

You agree to use Ninchi in compliance with all applicable laws and regulations. You agree not to:

• Use the Service for unlawful purposes
• Attempt to interfere with or disrupt the Service
• Reverse engineer or misuse the platform
• Submit harmful, malicious, or abusive content

4. Integrations & Service Connectivity

Ninchi operates as an integrated service capable of connecting to various third-party platforms, version control systems, and development environments that you explicitly authorize. You are responsible for:

• Ensuring you have the appropriate permissions to grant Ninchi access to any integrated repository, environment, or platform.
• Managing access controls, scopes, and permissions for all connected services.
• Acknowledging that the Service's functionality is dependent on the availability and API performance of these third-party platforms.

5. Data Processing

Ninchi processes repository data transiently to generate questions and evaluate responses. We do not guarantee that the Service will identify all issues or accurately assess understanding.

6. No Warranty

The Service is provided "as is" without warranties of any kind, including accuracy of evaluations, fitness for a particular purpose, or reliability and availability. You are solely responsible for reviewing and validating code changes.

7. Limitation of Liability

To the maximum extent permitted by law, Ninchi Inc. shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service.

8. Payments and Billing

• Standard Subscription: Paid features are offered via subscription. By subscribing, you agree to pay applicable fees and provide accurate billing information. All standard payments are processed via third-party providers (e.g., Stripe).
• Enterprise Agreements: For Enterprise-tier customers requiring advanced features such as SAML/SCIM, Zero Trust Network Access (ZTNA), or Dedicated VPC deployments, the terms of payment, service-level agreements (SLAs), and security controls may be governed by a separate written Enterprise Addendum or Master Services Agreement. In the event of a conflict between these Terms and an executed Enterprise Addendum, the terms of the Enterprise Addendum shall prevail.

9. Termination

We may suspend or terminate access to the Service at any time for violation of these Terms. You may stop using the Service at any time.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States.
